COMPLIANCE 231
On 10 September 2025, the Board of Directors of Resnova s.r.l. approved and adopted the Organisation, Management and Control Model (Model 231) in accordance with Legislative Decree 231/2001 and, at the same time, appointed the Supervisory Body, composed of a single member, in the person of Mrs Paola Finetto, lawyer - Verona Bar (odv@piublue.it).
Legislative Decree 231/2001 provides that the company may be sanctioned in relation to certain offences (generally intentional, sometimes negligent) committed or attempted, in the interest or to the advantage of the company itself, by:

people who hold positions of representation, administration or management of the company, or of a financially autonomous and functional unit thereof, as well as by people who exercise, even de facto, management and control (the so-called “Senior Managers”);

people subject to the supervision of one of the above-mentioned persons (the so-called ‘Subordinates’).
The company shall not be liable if the above-mentioned persons have acted in their own exclusive interest or in the interest of third parties.
In order to mitigate or exclude its liability, the company must demonstrate, among other things, that it has adopted and effectively implemented a Model 231 suitable for preventing the risks of committing the offences referred to in Legislative Decree 231/2001 and that it has appointed a Supervisory Body with the task of monitoring the adequacy, effectiveness and compliance of the Model 231, ensuring its proper functioning and updating over time.
Resnova s.r.l. has adopted its own Model 231 based on the Guidelines developed by the relevant trade associations (first and foremost, Confindustria), taking into account the relevant case law and legal literature guidelines, as well as enhancing its own system of internal controls and risk management.
Resnova s.r.l. considers Model 231 to be an essential tool for continuing to promote a culture of legality and integrity, for preventing risks and for improving business processes.
